SS&C BLUE PRISM "OCTOBER 2023 GENERATIVE AI DEVELOPER HACKATHON" TERMS AND CONDITIONS

These terms and conditions apply to the Gen AI Developer Hackathon to be run October and November 2023 (a “Competition”).

1. Promoter and prize provider

The promoter of the Competitions and prize provider is Blue Prism Limited of 2 Cinnamon Park, Crab Lane, Fearnhead, Warrington, England, WA2 0XP, with registered company number: 04260035 (“Blue Prism”).

2. The Competition

The title of the Competition is Gen AI Developer Hackathon (“the Competition”).

3. Eligibility.

NO PURCHASE NECESSARY. The Competition is open to registered attendees aged 18 years or over, excluding:

(a) employees of Blue Prism or its affiliated companies,

(b) employees of agents or suppliers of Blue Prism or its affiliated companies, who are professional connected with the Competitions or its administraion, and

(c) members of the immediate families or households of those identified in (a) and/or (b).

Employees of partners of Blue Prism are eligible to participate in the Competition. You are not eligible to participate in a Competition if English law or the laws of the location in which you are based prohibit or restrict your participation.

By entering the Competition, you confirm that you are eligible to do so and eligible to claim any prize you may win. Blue Prism may require you to provide proof that you are eligible to enter the Competition and eligibility determinations shall be made at Blue Prism’s sole discretion. One entry per person. Entries on behalf of another person will not be accepted and joint submissions other than a registered team are not permitted.

4. The Prize

There is a prize to be won by each member of the winning team for the Competition, consisting of:  

• Winners of the “team” category: USD 150 gift voucher per team member and branded apparel worth up to USD 100.
• Winner of the “individual” category: USD 150 gift voucher for the winner and branded apparel worth up to USD 100.
• Winner of the “student” category: Blue Prism Certification voucher (worth USD 150) and branded apparel worth up to USD 100.

Prizes are subject to availability and Blue Prism reserves the right to replace any prize (or any component of a prize) with an alternative prize (or component) of equal or higher value. There is no cash alternative for prizes and prizes are not negotiable or transferable. Any tax payable as a result of a prize being awarded or received will be the responsibility of the winner. The winner should seek independent advice prior to accepting a prize if this is a concern. It is also your responsibility to check with your employer, where applicable, whether you are permitted to receive a prize and to inform us if you are not. We make no representation or warranty in relation to any prize provided and to the fullest extent permitted by law we shall have no liability to you in relation to any prize, its fitness for purpose, merchantability or otherwise. If a prize is associated with a particular company or brand, this does not imply any affiliation with or endorsement of such company or brand.

5. How to enter

The Competition will be open for potential entrants to register their interest in participating from 1pm GMT on Monday 18th September 2023 until such time as the spaces available have been filled (the “Registration Closing Time”). To register interest in participating in a Competition, you must register your team, or yourself, for the relevant Competition (with a maximum of five members per team) using the registration mechanism provided on the Community event. For your registration to be valid, you must provide: (a) your name and contact email address; (b) if entering a team, a name and contact email address for each team member (all team members must be representatives of the same company or organisation); (c) if entering a team, a nominated team lead (your nominated team lead will receive supplementary information regarding the Competition); and (d) a team name (if entering a team). The number of participants for each Competition is limited and participants will be selected at Blue Prism’s sole discretion, with preference being given to full (five member) teams. Nominated individuals, and team leads for the teams that are selected to participate in a Competition will be notified by email (to the email address provided for yourself, or your nominated team lead).

If you or your team is selected, to participate in a Competition your team must then complete the relevant Developer Hackathon challenge in accordance with the applicable Developer Hackathon documentation and by the applicable challenge deadline (the “Developer Hackathon Closing Time”), each of which will be communicated separately. Blue Prism will not accept: (a) responsibility for registrations or entries that are lost, mislaid or delayed, regardless of cause, including, for example, as a result of any equipment failure, technical malfunction, network, server, computer hardware or software failure of any kind; or (b) proof of transmission as proof of receipt of receipt or entry. Blue Prism reserves the right to disqualify any entry at its absolute discretion. By submitting a Competition entry and/or participating in a Competition, you are agreeing to be bound by these terms and conditions and any amendments to them.

6. Blue Prism Cloud Services

Where a challenge involves access to or use of Blue Prism Cloud Services, participants may, at Blue Prism’s discretion, be permitted to access or use such services on and subject to the Blue Prism Cloud Services Terms of Use (available at https://portal.blueprism.com/agreements), modified as follows: (a) you shall be permitted to access and use Blue Prism Cloud Services solely for the purposes of completing the relevant challenge, for non-commercial, non-production purposes, and only for such period of time as Blue Prism determines; (b) Blue Prism may, at its discretion and without notice, change, limit or discontinue your access and use at any time; (c) you may not use the Blue Prism Cloud Services to process any personal or commercially sensitive data and if you do so Blue Prism has no responsibility for such data and may delete or destroy any data at any time; (d) the Blue Prism Cloud Services, including any Support Services and any other supplemental services or materials provided, are provided “AS IS", WITHOUT RERPESENTATION OR WARRANTY OF ANY KIND, AND “AS AVAILABLE”, AND BLUE PRISM EXCLUDES ALL WARRANTIES, CONDITIONS, TERMS, UNDERTAKINGS AND OBLIGATIONS IMPLIED BY STATUTE, COMMON LAW, CUSTOM, TRADE USAGE, COURSE OF DEALING OR OTHERWISE TO THE FULLEST EXTENT PERMITTED BY LAW; and (e) SAVE TO THE EXTENT LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED, BLUE PRISM SHALL HAVE NO LIABILITY WITH RESPECT TO THE BLUE PRISM CLOUD SERVICES, SUPPORT SERVICES, OR ANY SUPPLEMENTAL SERVICES OR MATERIALS.

7. Winner selection and how to claim the prize.

The winners of the Competition will be selected by a Blue Prism judging panel at its sole discretion. The selection of winners will be final and no correspondence or discussion will be entered into. Blue Prism will attempt to notify winners within three weeks of the Developer Hackathon Closing Time, using the contact details held by Blue Prism. If you are a winner, you will have until 5pm on the date falling five working days from the date of such notification within which to claim the prize and provide such details as Blue Prism requires to provide the prize to you, including the country and county/state (or equivalent) of residence for each team member. If you do not claim the prize by this time, or fail to provide any such details, your entry will become invalid and Blue Prism reserves the right to offer the prize to another entrant. Blue Prism does not accept any responsibility if you are not able to accept the prize. Blue Prism shall be permitted to provide the name and country and county/state (or equivalent) of prize winners to any person requesting such information by email to bpm-blueprismcommunity@sscinc.com within one month of the Developer Hackathon Closing Time.

8. Data privacy

Blue Prism will process your personal information as set out in its privacy policy, available at https://www.blueprism.com/privacy-policy, including for the administration of the Competition in accordance with these terms and conditions, to contact you if you win and to fulfil the provision of the prize (which may involve passing your details to relevant third parties). Please also see paragraph 6 regarding announcements relating to the winner.

9. Intellectual Property Rights

As part of the Competition, you will be submitting a solution and output (“Content”) that will be your own original work, and you warrant that the Content will not infringe the intellectual property or propriety rights of any of any third party, including, without limitation, any third party patents, copyrights or trademarks, and you irrevocably waive any intellectual property rights in relation to any product development that we may undertake based on Content or your participation in the Competition. You also confirm that all moral rights in the Content have been waived to the fullest extent allowed by law. 

You grant us a worldwide, perpetual, royalty-free, irrevocable,, fully sub-licensable license to use, reproduce, modify, adapt, translate, publish, publicly perform, publicly display, broadcast, transmit and distribute that Content for any purpose and in any form, medium, or technology now known or later developed. This includes, without limitation, the right to incorporate or implement that Content into any of our products or services, and to display, market, sublicense and distribute that Content as incorporated or embedded in any product or service we distribute or offer without compensation to you.

You also consent to the use of your name, photo and/or likeness, biographical information, Content and statements attributed your participation for advertising and promotional purposes, including, but not limited to, Blue Prism marketing, social media and websites and newsletters without additional compensation.

10. Miscellaneous

If there is any reason to believe that there has been a breach of these terms and conditions, Blue Prism may, at its sole discretion, exclude you from participating in the Competition. Blue Prism reserves the right to hold void, suspend, cancel, or amend the Competition where it becomes necessary to do so. By entering the Competition, you release Blue Prism, relevant third parties, and each of their respective affiliated companies, directors, officers, employees, representatives and agencies, from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Competition or with the acceptance, possession, or use of any prize, except as prohibited by law. To the maximum extent permitted by applicable law, Blue Prism reserves the right to amend these terms and conditions or cancel the Competition at any time, in its sole discretion.

These terms and conditions shall be governed by English law, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
